1. Acceptance of Terms

By creating an account, downloading our app, or using any part of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you are using our Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Eligibility

You must be at least 13 years old to use our Services. If you are under 18, you must have permission from a parent or guardian to use our Services.

By using our Services, you represent and warrant that:

3. Account Registration

Creating an Account

Account Termination

You may delete your account at any time through the app settings or by contacting us at support@promptfull.com.

4. Subscription and Payment

Subscription Plans

Promptfull offers both free and paid subscription plans. Paid subscriptions provide access to premium features and content.

Pricing and Billing

Subscription fees are billed in advance on a recurring basis (monthly or annually, depending on your selected plan). You authorize us to charge your payment method for all subscription fees.

• Prices are subject to change with 30 days' notice
• All fees are non-refundable except as required by law
• You are responsible for all taxes associated with your subscription
• Subscription automatically renews unless cancelled before the renewal date

Free Trials

We may offer free trials for certain subscription plans. When your free trial ends, you will automatically be charged the subscription fee unless you cancel before the trial period expires.

Cancellation

You may cancel your subscription at any time. Cancellation will be effective at the end of your current billing period. You will retain access to paid features until the end of the period you have already paid for.

Refunds

All subscription fees are non-refundable, except:

• If you cancel within 14 days of your initial purchase (EU/EEA residents)
• If we terminate your account without cause
• As required by applicable law

5. User Content

Your Content

Our Services may allow you to create, submit, or share content, including prompts, notes, and other materials ("User Content"). You retain ownership of your User Content.

License to Promptfull

By submitting User Content, you grant Promptfull a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with operating and improving our Services.

Content Restrictions

You agree not to create, share, or submit User Content that:

• Violates any law or regulation
• Infringes on intellectual property rights of others
• Contains hateful, threatening, or discriminatory content
• Contains spam, malware, or malicious code
• Impersonates another person or entity
• Contains private information of others without consent
• Is sexually explicit or promotes illegal activities

Content Monitoring

We reserve the right, but have no obligation, to monitor, review, or remove User Content at our sole discretion. We are not responsible for User Content posted by users.

6. Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Services in any way that violates applicable laws or regulations
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the Services or servers
• Use automated systems (bots, scrapers) without our written permission
• Reverse engineer, decompile, or disassemble any part of the Services
• Remove or modify any copyright, trademark, or proprietary notices
• Use the Services to transmit spam or unsolicited communications
• Harass, abuse, or harm other users
• Collect or store personal data about other users without consent

7. Intellectual Property Rights

Promptfull's Rights

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, images, software, and design, are owned by Promptfull and are protected by copyright, trademark, and other intellectual property laws.

Limited License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your personal, non-commercial use.

Restrictions

You may not:

• Copy, modify, or create derivative works of our content
• Sell, rent, lease, or sublicense access to our Services
• Use our content for commercial purposes without permission
• Remove or alter any proprietary notices

Trademarks

Promptfull, our logo, and other marks are trademarks of Promptfull. You may not use our trademarks without our prior written permission.

8. Third-Party Services

Our Services may contain links to third-party websites, applications, or services that are not owned or controlled by Promptfull. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party services.

You acknowledge and agree that Promptfull is not responsible or liable for any damage or loss caused by your use of any third-party services.

9. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY LAW, PROMPTFULL DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties regarding the accuracy, reliability, or completeness of content
• Warranties that the Services will be uninterrupted, secure, or error-free
• Warranties regarding any results obtained from using the Services

Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROMPTFULL AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or use
• Business interruption or loss of goodwill
• Any damages arising from your use or inability to use the Services

IN NO EVENT SHALL PROMPTFULL'S TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR $100, WHICHEVER IS GREATER.

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless Promptfull and its officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any rights of another party
• Your User Content

12. Dispute Resolution

Informal Resolution

If you have a dispute with Promptfull, please contact us at legal@promptfull.com to attempt to resolve the issue informally before pursuing formal legal action.

Arbitration Agreement

Any dispute arising from or relating to these Terms or the Services shall be resolved through binding arbitration, except that either party may seek injunctive relief in court for infringement of intellectual property rights.

The arbitration shall be conducted by a single arbitrator under the rules of the American Arbitration Association. The arbitrator's decision shall be final and binding.

Class Action Waiver

You agree to bring any dispute in your individual capacity and not as part of a class action, collective action, or representative proceeding.

Exceptions

Residents of certain jurisdictions may have rights that prohibit mandatory arbitration. If you are such a resident, the arbitration provisions above may not apply to you.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law provisions.

Termination by Promptfull

We may suspend or terminate your access to the Services immediately, without prior notice or liability, for any reason, including if:

• You breach these Terms
• Your account has been inactive for an extended period
• We are required to do so by law
• Continuing to provide the Services would create substantial legal or economic risk

Effect of Termination

Upon termination:

• Your right to use the Services will immediately cease
• We may delete your account and User Content
• Any provisions of these Terms that should survive termination will remain in effect
• You remain responsible for any fees incurred before termination

16. Miscellaneous

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Promptfull regarding the Services and supersede all prior agreements.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms without restriction.

Force Majeure

We shall not be liable for any failure to perform our obligations under these Terms due to causes beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or internet service failures.

Notices

We may provide notices to you via email, in-app notifications, or by posting on our website. You agree that electronic notices satisfy any legal requirement for written notice.
